Terms of Use and End User License Agreement

1. INTRODUCTION

These Terms of Use and End User License Agreement (collectively, the "Agreement") constitute a legally binding agreement between you as the user ("you" or "your") and GOTECH Dijital Hizmetler Anonim Sirketi ("we," "us," or "our") regarding your access to and use of the "IntelliType - AI Keyboard" mobile application (the "App"). The App may have varying titles in different regions and is subject to potential changes without specific notice.

By downloading, installing, or using the App, you affirm that you have read, understood, and agreed to this Agreement. This Agreement takes effect when you download, install, or use the App, and your use of the App signifies your acceptance of its terms.

If you do not agree with any provision of this Agreement, you are not authorized to access, download, install, or use the App. In such a case, you must promptly discontinue any downloads, installations, and remove the App from any mobile device under your control.

2. CHANGES TO THIS AGREEMENT

We reserve the right to modify this Agreement at our discretion without specific notice. Any changes will be reflected in the updated Agreement, and it is your responsibility to periodically review it for updates. Continued use of the App after changes signifies your acceptance of the revised terms.

3. AGE RESTRICTIONS

To download, install, access, or use the App, you must be at least eighteen (12) years old. Users under thirteen (12) years of age are not permitted to use the App.

By using the App, you confirm that you are either eighteen (12) years or older, an emancipated minor, or have obtained parental or guardian consent, and can enter into this Agreement and comply with its terms.

4. APP DESCRIPTION

The App is a utility program designed to enhance your mobile device experience. It employs Artificial Intelligence (AI) models and technologies to provide an AI-assisted keyboard, offering features such as spell-checking, sentence paraphrasing, and auto-reply for incoming messages. The App also allows keyboard customization.

The App is intended for personal, non-commercial use and should only be used for the purposes mentioned above.

5. PRIVACY POLICY

We are committed to protecting your privacy. Our Privacy Policy outlines how we process, use, and store information, including personal data. Your access to the App and use of its services are subject to the Privacy Policy. By continuing to use the App, you acknowledge and accept the Privacy Policy's terms. We may update the Privacy Policy, and if you disagree with any part of it, you should cease using the App.

6. END USER LICENSE AGREEMENT

By using the App, you agree to respect our intellectual property rights, including but not limited to the App's source code, design, content, copyrights, and trademarks (collectively, "Intellectual Property Rights"), as well as those owned by third parties.

While you continue to use the App, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, non-assignable, and revocable license (the "License") to access and use the App as per this Agreement for your personal, non-commercial purposes. You must respect the copyrighted material within the App and refrain from selling or distributing content from the App.

The source code, design, content, and all related materials within the App are protected by copyright and other applicable laws and belong to us, our partners, or contracted third parties. These materials may not be copied, reproduced, distributed, or used without express permission.

All rights, title, and interest in the App, its content, and Intellectual Property Rights remain exclusively with GOTECH Dijital Hizmetler Anonim Sirketi and its partners or contracted third parties. No rights are transferred to you through this License.

7. THIRD-PARTY TECHNOLOGIES

The App integrates with the OpenAI API, available at https://platform.openai.com/docs/api-reference. You should review the Terms of Use for OpenAI Services at https://openai.com/terms/.

8. PROHIBITED BEHAVIOR

You agree not to use the App in any way that:

Additionally, you are prohibited from creating, generating, or uploading content that includes hate speech, harassment, violence, self-harm, sexually explicit material, political campaigning, or any illegal, defamatory, or misleading content.

You may not make the App available to third parties, modify, reverse engineer, decompile, or create derivative works from the App. The App may not be transferred, rented, or used for third-party services.

9. AVAILABILITY OF THE APP, SECURITY, AND ACCURACY

To use the App, you need a compatible mobile phone or tablet with internet access. The App is available for download and installation on handheld compatible mobile devices running Apple iOS Operating System 15.0 or later.

We do not warrant that the App will be compatible with all hardware and software you may use. We make no warranty that your access to the App will be uninterrupted, timely, or error-free. The quality and availability of the App may be affected by factors outside our control.

The version of the App may be upgraded from time to time to add support for new functions and services. We may change or update the App and its description without prior notice.

You warrant that any information you submit to us is true, accurate, and complete. You can discontinue using our Services at any time by choosing the relevant option in your Apple ID Account Settings. If you decide not to use the App for any reason, you should uninstall the App.

10. CHARGES

The App is provided on a free basis, granting access to basic features upon download. Access to some services and additional features within the App ("Premium options") may require In-App Purchases, including paid subscriptions. Detailed information on Premium options and pricing is provided on the App's page. During the free trial period, you may have an opportunity to try Premium options, but auto-renewing subscriptions will commence once the trial period ends unless canceled 24 hours prior to expiration. Cancelling your subscription still grants access to basic App features.

You can choose from different subscription options when using the App. Subscription prices are in U.S. dollars, may vary in countries other than the U.S., and are subject to change. Subscription details, including the free trial period's duration, are available on the signup screen before purchase. Subscriptions renew automatically unless auto-renew is turned off 24 hours before the current subscription ends. Payment is charged to your Apple ID Account. You are responsible for any charges incurred from your mobile service provider or operator.

11. THIRD-PARTY WEBSITES AND RESOURCES

The App may include links to third-party websites and utilize contracted third parties to provide specific services. We do not control these websites or resources and accept no responsibility for their content or information. You are solely responsible for any consequences or interactions arising from your use of third-party websites or resources.

If you have inquiries, concerns, or complaints related to third-party websites or mobile applications, you should direct them to the respective operator of those websites or applications.

12. DISCLAIMER OF WARRANTIES

YOUR USE OF THE APP AND ITS SERVICES IS AT YOUR SOLE RISK. THE SERVICES, MATERIALS, INFORMATION, SOFTWARE, AND CONTENT INTEGRATED INTO THE APP ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, TECHNICAL COMPATIBILITY, OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICES WILL BE AVAILABLE, UNINTERRUPTED, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. LIMITATION OF LIABILITY

IN NO EVENT SHALL WE BE LIABLE FOR ANY DAMAGES, WHETHER DIRECT OR INDIRECT, ARISING OUT OF OR RELATED TO THE APP AND SERVICES PROVIDED BY THE APP. UNDER NO CIRCUMSTANCES SHALL WE BE LIABLE FOR SPECIAL, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFIT OR REVENUES, EVEN IF WE HAVE BEEN SPECIFICALLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WE SHALL NOT BE LIABLE FOR DAMAGES ARISING OUT OF OR RELATED TO PRODUCTS, SERVICES, AND/OR INFORMATION OFFERED OR PROVIDED BY THIRD-PARTIES ACCESSED THROUGH THE APP OR BY OTHER MEANS. YOU ACKNOWLEDGE THAT WE ARE NOT LIABLE FOR COSTS OR DAMAGES ARISING FROM LEGAL ACTIONS RELATED TO YOUR USE OF THE APP AND ITS SERVICES IN ANY COUNTRY, WHETHER PRIVATE OR GOVERNMENTAL.

14. THIRD-PARTY BENEFICIARY

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement's terms and conditions, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement as a third-party beneficiary.

15. GOVERNING LAW AND CLAIMS

This Agreement is governed by and interpreted in accordance with the laws of Bulgaria. All disputes and claims arising out of this Agreement shall be exclusively decided by the courts of competent jurisdiction in Sofia, Bulgaria. You acknowledge and agree that we make no representations about the App's suitability or availability for use outside of Bulgaria. If you access or use the App from other jurisdictions, you are responsible for compliance with local laws and regulations.

16. CLASS ACTION WAIVER

While resolving disputes with us or seeking relief, you expressly agree to waive the right to pursue or participate in any class action lawsuits or proceedings.

17. TERMINATION

We reserve the right to terminate this Agreement at our sole discretion for any reason. Upon termination, (a) the rights and licenses granted to you herein shall terminate; (b) you must cease all use of the App.

18. SEVERABILITY

If any provision of this Agreement becomes illegal, invalid, or unenforceable, it shall be narrowly construed, made legal, valid, and enforceable, or deleted, if necessary. All other terms of this Agreement continue to apply with full force and effect. You may not assign or transfer the contract between you and us to any other person.
